¢ñ.Background of Joint Venture
The former Shenyang Seat company was founded in 1956, which
belong to JinBei Auto Co. Ltd. After merged with several
seat companies, Shenyang Seat company became one of the best
seat supplier in China. However, due to China Auto market
competition became harder by harder, Shenyang Seat company
can not longer survive based on its own capabilities and
resources. Therefore, in order to extend its market
development, in 2000, JinBei Auto Co. Ltd and Johnson
Controls Inc (JCI) established Shenyang JinBei Johnson
Controls Automotive Interiors Co., Ltd (SJJ).
Johnson Controls Inc was founded in 1885, is one of Top 500
best companies, at the position of 101. Johnson Controls is
one of the biggest Auto seat and interiors supplier. Its
major customers are: GM, Ford, Honda, Audi, FIAT, BMW, etc.

1.basic states
After one year merge negotiation, on 28th Feb, 2000, SJJ had
been approved by Shenyang local government. The registration
address is: No3, Hou Yushutai Henhe Town Dongling District
Shenyang.
2.both parties investment
Both parties program invest $8.88 M, registration capital
is: $7.08 M. each party 50%.
3.investment
Chinese party invested its whole asset as investment.
Johnson Controls invested equality.
4.employee arrangement
Due to the Joint venture contract, Johnson control sent two
long term stay employees and other short term stay technique
supporters. Chinese party: beginning of Joint venture, there
are 1125 employee, within the next four years, the total
employee number reduce to 538. average of employee¡¯s age is
35. we continually hire people who has high education
background and special skills.
¢ó.Managing data
Our plant totally 74,500 m², production area is
28,125m². we have ten departments: Engineering Dep, Quality
Dep, Production Dep, Purchasing Dep, Finance Dep, Logistics
Dep, IT Dep, Continue Improve Dep, HR Dep and Sales Dep.
Within production, we also have five workshops: Trim, Metal,
Assembly, foam and BMW interiors. Our major products: Hiace
series, M1 series, GM Blazer SUV series, S10 Truck series.
BMW 3&5 series Instrument panel and Door panel. Hiace series
Heating tubes and sun visor, etc.
Capability of production
Due to the goals of JV, we need produce 100,000 car sets of
seat. Within two years, we localized S10 and Blazer seats.
M1 launched. Our current production capability is 100,000
annually. Our production system can be facile changed.
Performance of enterprise overall control
We implement Johnson Control¡¯s Business Operating System (BOS)
and Johnson Control Manufacturing System (JCMS), developing
5S activities, set up KANBAN and standardized work etc. All
those management tools improve our works.
In 2004, in order improve our Kaizen activities, we set up a
new department ¨C continue improvement Department, which base
on cost reduction as its major objective, developing and
implementing any activities around the company. This year
totally saving RMB 12 M. we also make a lot of efforts on
implement TS16949£¬ISO14000 and OHSAS18000, which improved
our managing performance.

SJJ Board team is organized by six Board Directors: Chinese
party and American party three members of each. Every four
year authority will be changed, every half year a Board
meeting will be organized.
